Terms of Service

Last updated: May 20, 2025

1. Agreement

By engaging Forma Web ("we," "us," or "our") for web design services, you ("Client") agree to these Terms of Service. These terms govern all projects and services provided by Forma Web studio, based in Seattle, WA.

2. Services

We offer two service packages:

  • Forma — A custom WordPress site built from scratch and handed over to you. Hosting and domain are not included. Best for clients who already have someone to manage the site.
  • Forma+ — A custom-coded site that we design, build, host, and fully manage on an ongoing basis. Hosting, SSL, and domain are included in the monthly fee.

Both packages cover the website itself — the pages visitors see, the design, the content, and how it looks on any device. They do not include features that require users to log in, take payments, make bookings, or store data. Things like an online store, a booking system, a customer account area, or a members-only section are a different kind of project and are quoted separately.

The exact scope of each project — including deliverables and timeline — will be confirmed in writing before work begins.

3. Payment

  • A non-refundable deposit (typically 50%) is required before work begins
  • The remaining balance is due upon project completion, before the site goes live or final handoff is complete
  • For Forma+ clients, the monthly fee of $50/mo begins on the launch date
  • Invoices not paid within 14 days may pause work until payment is received
  • All prices are in USD

4. Revisions

We offer unlimited revisions until you are completely satisfied with the result. Revisions must be within the original agreed-upon scope. Requests that significantly change the scope or direction of the project may be treated as a new engagement.

5. Content Updates (Forma+)

Forma+ clients can request changes to their website content at any time — text, images, hours, pricing, and similar updates. We will respond and complete the update within 1–5 business days depending on the size of the request.

Content updates do not include new pages, new sections, or anything that meaningfully expands the scope of the original site. Those are treated as new work and quoted accordingly.

6. Timeline

Most projects go live in as little as 2–5 business days from the start of the Design & Build phase. Timelines depend on how quickly the Client provides content, feedback, and approvals. Delays on the Client's side may push the launch date.

7. Client Responsibilities

The Client agrees to:

  • Provide all necessary content (text, images, branding) in a timely manner
  • Give feedback and approvals promptly at each stage
  • Ensure all content provided is legally owned or licensed by the Client

8. Ownership & Intellectual Property

Upon receipt of full payment, the Client owns the final website design and code. We retain the right to display the completed project in our portfolio unless the Client requests otherwise in writing.

For Forma+ clients, code and design ownership transfers upon cancellation and settlement of any outstanding balance.

9. Warranty & Support

We provide a 30-day bug fix period after project launch at no charge. This covers functional issues caused by our code, not changes made by the Client or third parties after delivery.

Forma+ clients receive ongoing support and maintenance as part of their monthly plan — hosting, security, and updates are all handled by us.

10. Cancellation (Forma+)

Either party may cancel the Forma+ plan with 30 days written notice. Upon cancellation, we will hand over the full source code and transfer the domain to the Client. Hosting is not transferred. No refunds are issued for the current billing period.

11. Termination

Either party may terminate a project with written notice. If the Client terminates the project, the deposit is non-refundable and any work completed beyond the deposit value is billable. If we terminate the project, we will refund a prorated portion of any payments beyond work completed.

12. Limitation of Liability

To the maximum extent permitted by law, Forma Web shall not be liable for any indirect, incidental, or consequential damages arising from the use of the delivered website. Our total liability in any matter is limited to the amount paid by the Client for the specific project.
